 Savvy Agents Terms of Service
=============================

These Terms of Service govern the implementation and use of Savvy Agents AI phone, scheduling, clinical documentation, insurance coordination, and patient-retention services.

By using Savvy Agents services or submitting an onboarding application, the client agrees to these terms, the applicable Business Associate Agreement, and any executed service agreement or statement of work between the parties.

### Services

Savvy Agents provides AI-assisted operational tools for dental and healthcare practices, including receptionist workflows, clinical scribe support, insurance eligibility coordination, recall and reactivation campaigns, and related onboarding, configuration, support, and integration work.

The exact services enabled for a client depend on the agents, workflows, integrations, and configuration approved during onboarding and subsequent implementation.

### Client Responsibilities

The client is responsible for providing accurate practice information, provider schedules, appointment rules, clinical templates, portal access details, patient communication preferences, and other setup materials requested during onboarding.

The client must maintain appropriate authority to provide Savvy Agents with access to practice systems, phone numbers, patient workflows, and any protected health information needed to deliver the services.

### Patient SMS Communications

Savvy Agents SMS services are intended for patient communications on behalf of dental and healthcare practices, including appointment confirmations, reminders, scheduling updates, follow-up messages, and related practice communications. They are not intended for marketing or promotional messaging unless separately approved and configured.

Message frequency varies based on patient appointments, scheduling activity, practice workflows, and patient communication needs. Message and data rates may apply.

Patients may reply STOP to opt out of SMS messages and HELP for assistance. Wireless carriers are not liable for delayed or undelivered messages.

### Implementation and Access

Savvy Agents may request access to practice management systems, insurance portals, phone systems, clinical template documents, and other operational tools. The client is responsible for keeping provided credentials current and revoking access when services end or access is no longer needed.

Implementation timelines depend on timely client responses, system access, integration availability, and the completeness of onboarding materials.

### Protected Health Information

When Savvy Agents creates, receives, maintains, or transmits protected health information on behalf of a covered entity, the parties' Business Associate Agreement controls the handling of that information.

Savvy Agents will use administrative, technical, and physical safeguards designed to protect information handled through the services. The client remains responsible for its own HIPAA compliance obligations, privacy notices, consent practices, and internal policies.

### AI-Assisted Workflows

Savvy Agents services may use AI systems to answer calls, collect patient information, schedule appointments, summarize clinical context, assist with insurance coordination, and support patient outreach. AI outputs can require human review, especially for clinical, insurance, or patient-care decisions.

The client is responsible for reviewing workflows before go-live, monitoring performance, and notifying Savvy Agents of corrections, restrictions, escalation paths, or practice-specific rules that should be reflected in the configuration.

### Acceptable Use

The client may not use the services for unlawful activity, unauthorized access, deceptive communications, harassment, spam, infringement, or any workflow that violates applicable privacy, healthcare, telecommunications, or consumer-protection laws.

The client may not reverse engineer, resell, sublicense, or interfere with the operation of Savvy Agents systems except as expressly permitted in a written agreement.

### Confidentiality

Each party may receive confidential business, technical, operational, patient, or integration information from the other party. Each party agrees to use confidential information only for the purposes of delivering, receiving, supporting, or improving the services and to protect it using reasonable safeguards.

### Service Changes and Suspension

Savvy Agents may modify service features, integrations, prompts, workflows, and supporting systems to improve reliability, comply with law, address security concerns, or support client-approved configuration changes.

Savvy Agents may suspend or restrict service access when necessary to address security risks, legal requirements, misuse, integration failures, or material breach of these terms.

### Disclaimers

The services are provided to support practice operations and do not replace professional judgment, clinical decision-making, legal advice, or insurance-plan determinations. Savvy Agents does not guarantee that every call, message, eligibility response, schedule request, or AI-generated output will be complete, error-free, or available without interruption.

### Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from these terms or the services, including lost profits, lost business opportunities, service interruption, or loss of data.

### Termination

Either party may terminate services as permitted by the applicable service agreement or statement of work. Upon termination, Savvy Agents may disable workflows, remove integrations, and retain or delete records according to applicable law, the Business Associate Agreement, and internal retention practices.

### Governing Law

These terms are governed by the laws identified in the applicable service agreement. If no governing law is identified, these terms are governed by the laws of Texas, without regard to conflict-of-law rules.
